These Terms of Use ("Terms") govern your access to and use of the KarmaPSA platform, including the web application, APIs, monitoring agents, and any related services (collectively, the "Service"). By accepting these Terms, creating an account, or using the Service, you agree to be bound by them on behalf of yourself and the organization you represent. If you do not agree, do not use the Service.
KarmaPSA is professional services automation software for managed service providers. The Service is provided on a subscription or evaluation basis and may change over time as features are added, modified, or removed. Access is granted per named user. You are responsible for every action taken under your account.
You agree to provide accurate account information and to keep it current. You are responsible for safeguarding your credentials, for enabling reasonable account protections where offered (including multi-factor authentication), and for promptly notifying us of any suspected unauthorized access. You may not share a single account among multiple people, or allow anyone outside your organization to use your access.
You agree not to: • use the Service to store, transmit, or process unlawful, infringing, or malicious content; • attempt to gain unauthorized access to the Service, other tenants' data, or the underlying infrastructure; • probe, scan, or test the vulnerability of the Service except with our prior written permission; • interfere with or disrupt the integrity or performance of the Service; • reverse engineer, decompile, or attempt to derive the source code of the Service except where that restriction is prohibited by law; • resell, sublicense, or provide the Service to third parties as a standalone offering; or • use the Service to build a competing product. We may deploy monitoring agents and integrations only on systems you are authorized to manage. You are solely responsible for having that authorization.
You retain all rights to the data you and your clients submit to the Service ("Customer Data"). You grant us the limited right to host, process, transmit, and display Customer Data solely to provide, secure, and support the Service. You are responsible for the accuracy and legality of Customer Data and for obtaining any consents required from your own clients and end users. We may use aggregated, de-identified usage information to operate and improve the Service.
The Service integrates with third-party providers you choose to connect (payment processors, accounting systems, distributors, mail providers, identity providers, and others). Your use of those services is governed by their own terms, and we are not responsible for their availability, accuracy, or acts. Credentials you supply are used only to operate the integration you configured.
We aim to keep the Service available and to give reasonable notice of planned maintenance, but we do not commit to any specific uptime unless a separate written service level agreement is in place. Support is provided on a commercially reasonable basis through the channels we designate.
Fees, if any, are those agreed in your order or subscription. Fees are non-refundable except where required by law. We may change pricing prospectively with reasonable notice. Access granted for evaluation or beta purposes is provided at no charge and may be withdrawn at any time.
We may suspend or terminate access immediately if we reasonably believe the Service is being used in violation of these Terms, in a way that creates risk to us or other customers, or as required by law. You may stop using the Service at any time. On termination, your right to access the Service ends. You are responsible for exporting Customer Data before termination; we may delete it after a reasonable period.
We may update these Terms. When we publish a materially updated version, you will be asked to review and accept it the next time you sign in. Continued use of the Service after acceptance is required constitutes agreement to the updated Terms.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION. You are responsible for maintaining your own backups and for protecting your systems and data. Where you also have a Beta Evaluation Agreement with us, its liability terms control for the beta period.
These Terms are governed by the laws of the United States, without regard to conflict of law principles.
These Terms, together with any Beta Evaluation Agreement, order form, or data processing agreement between the parties, constitute the entire agreement regarding the Service and supersede prior discussions or understandings. You agree that accepting these Terms digitally holds the same weight as signing them in person.
